Please read these Terms of Service carefully before using premial.eu operated by Continental Export Import S.R.L. ("Company", "we", "us"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using premial.eu, you agree to be bound by these Terms of Service and our Privacy Policy. These Terms apply to all visitors, registered users, buyers, and manufacturers using the Platform. If you do not agree to these Terms, please do not use the Platform.

2. Use of the Platform

premial.eu is a controlled B2B trade infrastructure intended exclusively for registered business entities. Individual consumers are not the intended audience and may not register or transact. Users must be at least 18 years old and duly authorised to act on behalf of their company. Use of the Platform for any unlawful purpose is strictly prohibited.

3. Account Registration

You agree to provide accurate, complete, and up-to-date information during registration and onboarding. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify us immediately of any suspected unauthorised access.

4. Transactions and Trade Flow

All commercial transactions facilitated through the Platform are subject to the specific terms agreed between buyer and manufacturer at the time of order confirmation. Premial operates as a controlled trade infrastructure and does not itself act as buyer or manufacturer of goods, unless explicitly stated otherwise. Payment and settlement terms are governed by the applicable transaction documentation and the Financial Security conditions published on the Platform.

5. Manufacturer Obligations

Manufacturers registered on the Platform agree to provide accurate company and product information, maintain valid business registration and applicable certifications, fulfil confirmed orders according to agreed specifications and timelines, and comply with all applicable EU import, export, and trade regulations.

6. Buyer Obligations

Registered buyers agree to provide accurate business information during verification, communicate in good faith through the Platform's documented workflows, and honour payment obligations as per confirmed transaction terms.

7. Intellectual Property

All content on premial.eu, including text, graphics, logos, and software, is the property of Continental Export Import S.R.L. or its licensors and is protected under applicable intellectual property law. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Continental Export Import S.R.L. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. Our total liability for any claim arising under these Terms shall not exceed the fees paid by you to us in the twelve months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Romania, unless otherwise required by applicable EU consumer or business protection law.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
